Terms of Service

These Terms of Service govern your access to and use of the Website and tools. Please read them carefully before using any tool. By using the Website, you agree to these terms.

1. Agreement to the terms

Welcome to ToolBox (the “Website” or the “Service”). These Terms of Service (the “Terms”) are a legal agreement between ToolBox Team (“we”, “us”, “our”) and you (“you” or “your”). By accessing or using the Website, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to any part of these Terms, do not use the Website.

2. Who can use the service

You may use the Service only if you can form a binding contract with us and only in compliance with all applicable laws and these Terms. By using the Service, you represent and warrant that:

  • you are at least 13 years old (or the age of majority in your jurisdiction); and
  • your use of the Service does not violate any applicable law or regulation.

3. Description of the service

The Website provides browser-based productivity utilities including image tools, PDF tools, text tools, developer tools, CSS utilities, calculator tools, and generator tools (collectively, the “Tools”). Most Tools run entirely in your browser using client-side JavaScript. Unless explicitly noted on a specific Tool page, files processed by those Tools are not uploaded to our servers.

We may change, update, suspend, or discontinue any Tool or feature at any time, temporarily or permanently, with or without notice. We are not liable if any particular Tool or feature is unavailable, modified, or discontinued.

4. Your use license and intellectual property

4.1 License to use the Service

Subject to these Terms, we grant you a personal, non-exclusive, non-transferable, revocable, limited license to access and use the Service and the Tools for your personal, non-commercial, or internal business purposes. You may not:

  • reproduce, copy, distribute, publicly perform, publicly display, sublicense, sell, resell, scrape, crawl, or otherwise exploit any part of the Service;
  • modify, adapt, translate, reverse-engineer, decompile, disassemble, or create derivative works of the Service or the Service; or
  • remove, alter, or obscure any proprietary notices (including copyright or trademark notices) in the Service.

4.2 Our intellectual property

Except with respect to any third-party open-source components (each of which has its own license), the Service and all content, software, code, design, user interface, text, logos, trademarks, service marks, and trade names on the Website are owned or controlled by us or our licensors and are protected by copyright, trademark, and other laws of both the home jurisdiction and international treaties.

4.3 What you do with the Tool outputs

You retain all rights to any results that the Tools produce from your own files or legally obtained inputs. You are solely responsible for the legality of the inputs you provide and the outputs you distribute.

5. Acceptable use

You agree not to misuse the Service. Specifically, you will not:

  • use the Service in violation of any applicable law or regulation;
  • use the Service to create, process, or distribute content that is illegal, defamatory, harassing, abusive, tortious, hateful, racially or ethnically offensive, or that infringes third-party rights, including intellectual property or privacy rights;
  • introduce viruses, trojans, worms, logic bombs, malware, or other code that is malicious or technologically harmful into the Service or into files produced by the Tools;
  • attempt to gain unauthorized access to the Service, other users’ accounts, or any other computer systems or networks connected to the Service;
  • use automated means (bots, scrapers, spiders, crawlers) to access, scrape, or mirror the Service or the Tool APIs for bulk operations without our prior written permission; or
  • interfere with or disrupt the integrity or performance of the Service or the servers or networks connected to it.

6. User content and files

Because most Tools run entirely in your browser, your files generally never reach us. To the extent you do submit content (for example, a text string in a text tool, a message via the contact form, or, in the future, an uploaded file for a server-side feature), you grant us only the limited rights necessary to provide the Service back to you. You represent and warrant that:

  • you own or have the necessary rights, licenses, and permissions to use any content you process on or through the Service, and to grant the rights in these Terms; and
  • any content you provide does not violate any third-party rights, applicable law, or these Terms.

7. Disclaimer of warranties

The Service and the Tools are provided on an “as is” and “as available” basis, without warranties of any kind, express, whether statutory, express, or implied, including, without limitation, implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, availability, accuracy, or noninfringement.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components, or that defects will be corrected. No advice or information, whether oral or written, obtained by you from us or through the Service will create any warranty not expressly stated in these Terms.

In particular, and without limitation, results produced by the Tools, are for informational and convenience utility purposes: and are not intended as legal, financial, tax, medical, or any other form of professional advice. Always verify important documents, and the outputs are not a substitute for independent professional judgment.

8. Limitation of liability

To the fullest extent permitted by applicable law, in no event shall we, our affiliates, licensors, service providers, employees, agents, officers, or directors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation damages for loss of profits, revenue, data, use, goodwill, or other intangible losses, arising out of or in connection with your access to or use of or inability to access or use the Service, regardless of legal theory (contract, tort, strict liability, or otherwise), even if we have been advised of the possibility of such damages.

Our total aggregate liability to you for any and all claims arising out of or relating to these Terms or the Service, whether in contract, tort, or otherwise, shall not exceed the greater of (a) the total amounts actually paid by you to us in the twelve (12) months preceding the first event giving rise to liability (if any) or (b) one hundred united states dollars (us$100.00). The foregoing limitations of liability and exclusions of certain damages apply even if a remedy fails of its essential purpose.

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above limitations may not apply to you.

9. Indemnification

You agree to defend, indemnify, and hold harmless us and our affiliates, licensors, and service providers, and our respective officers, directors, employees, contractors, agents, and representatives harmless from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including reasonable attorneys’ fees) arising from:

  • your use of the Service in violation of these Terms;
  • your violation of any third-party right, including without limitation any copyright, property, publicity, or privacy right; or
  • any claim that content you provided, input, uploaded, or submitted caused damage to a third party.

10. Termination

We may terminate or suspend your access to all or part of the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Third-party websites and resources

The Service may contain links to third-party websites or resources. We are not responsible for the content, products, or services on or available from those websites or resources or for the actions of such third parties. Your dealings with, or participation in promotions of, advertisers or service providers found on or through the Service, including payment and delivery of related goods or services, are solely between you and such advertiser or service provider, and any risk of loss is entirely on you. The inclusion of any such links does not imply any affiliation, endorsement, or verification, approval, adoption, or verification by us.

12. Changes to these Terms

We may revise and update these Terms from time to time in our sole discretion. All changes are effective when we post the revised Terms on the Website with a new “Last updated” date. Your continued use of the Service after the posting of the revised Terms constitutes your acceptance of such changes. If you do not agree to the revised Terms, you must stop using the Service immediately.

13. Governing law and dispute resolution

These Terms and any dispute, claim, controversy, or dispute (including non-contractual disputes or claims) arising out of or relating to these Terms or the Service shall be governed by and construed in accordance with the laws of the jurisdiction in which ToolBox Teamis domiciled, without regard to its conflict of laws principles. Any legal action or proceeding related to the Service or these Terms must be brought exclusively in the courts located in that jurisdiction, and each party consents to such exclusive jurisdiction and venue of such courts. The United Nations Convention on Contracts for the International Sale of Goods is excluded.

14. Severability and entire agreement

If any term of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, the remaining provisions shall remain in full force and effect and the provision held invalid shall be deemed reformed to the minimum extent necessary to make it valid, legal, and enforceable. Our failure to enforce any right or provision in these Terms will not be considered a waiver of those rights. These Terms constitute the sole and entire agreement between you and us regarding the Service and supersede all prior understandings or agreements (written or oral).
